This agreement is between (1) FundNow, the trading name of KAI Management Ltd, a company registered in England and Wales with company number 17205149, whose registered office is at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ (“FundNow”); and (2) [company name] ([company number, or “not yet incorporated”]), whose registered or business address is [registered or business address] (“you” or “the Company”). If the Company is not yet incorporated, “the Company” means the person who signs.
- Why this agreement exists. You are considering applying to FundNow to have the Company considered for its syndicate, and you may give FundNow information about the Company for that purpose (the “Purpose”). This agreement sets out how FundNow treats that information. FundNow signs it before you share anything.
- What is protected. “Confidential Information” means all non-public information you give FundNow for the Purpose, in any form: your application, deck and answers; financial, customer, contract, product, technical and team information; and anything you share through a data room, an upload link or a connected account. It does not include information that (a) is or becomes public other than through FundNow’s breach; (b) FundNow already held lawfully before you shared it; (c) FundNow receives lawfully from someone else who is free to share it; or (d) FundNow develops independently without using your information.
- What FundNow promises. FundNow will: (a) use Confidential Information only for the Purpose: screening your application, verifying your claims, underwriting, and, if its decision is yes, sharing the opportunity with its private backers; (b) keep it confidential, taking at least reasonable care and no less care than it takes with its own confidential information; (c) never forward your documents or data-room files: backers receive FundNow’s memo and verification report, not your files; (d) disclose it only to the people listed in clause 4; and (e) not use it to compete with you, or to help anyone else compete with you.
- Who may see it. (a) FundNow’s director and any named deputy decision-maker, who are bound by confidentiality; (b) service providers that process information for FundNow under written confidentiality and data-protection terms: the AI processing provider, the storage provider, and the regulated investment platform through which any investment would be made; (c) counterparties and referees you have named and agreed FundNow may contact, only to confirm the specific claim, and without sharing your documents; (d) FundNow’s private backers, who receive FundNow’s memo and verification report under the confidentiality terms of the regulated platform, and only if FundNow’s decision is yes; (e) FundNow’s professional advisers, who owe duties of confidence; and (f) anyone FundNow is required by law or a regulator to disclose to, in which case FundNow will tell you first where it lawfully can. FundNow is responsible for keeping the people in (a) and (b) to the terms of this agreement.
- Your report and FundNow’s public record. The verification report FundNow issues on the Company is yours to keep and to show to any investor. FundNow keeps a public record of its own predictions about every applicant: on the day of each decision it publishes a cryptographic fingerprint of the prediction, and it reveals and scores the prediction only when the outcome is known. The record never discloses Confidential Information, and the Company is named in it only with your written consent.
- Deletion. If FundNow declines the application, or you withdraw it, FundNow will delete your documents and data-room files within 30 days. It keeps only the application record, its memo and its decision with reasons, for its own records and for the calibration record in clause 5, and anything it must keep by law. Everything it keeps stays protected by this agreement.
- Personal data. Personal data in the Confidential Information is handled under FundNow’s privacy notice at fundnow.ai/privacy. FundNow is the controller; its service providers act under written processing terms.
- How long it lasts. FundNow’s obligations last for three years from the date you sign, and for as long as any Confidential Information remains a trade secret. Clauses 5, 6 and 10 continue after that.
- What this agreement does not do. It does not oblige FundNow to say yes, its backers to invest, or you to accept an investment; it creates no partnership, agency or exclusivity; and it grants no licence to any intellectual property. FundNow may consider businesses similar to yours, and share them with its backers, provided it does not use your Confidential Information to do so.
- Remedies and liability. You may seek an injunction to prevent or stop a breach, in addition to any other remedy. Neither party is liable to the other for indirect or consequential loss.
- General. This is the whole agreement on confidentiality between us for the Purpose and replaces any earlier discussion of it. Changes must be in writing and signed by both parties. Neither party may transfer it without the other’s consent, except that FundNow may transfer it to a successor to its business on written notice to you. If any part is unenforceable, the rest stands. No one else has rights under it. It is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
- Signing. FundNow authorises its signature in advance and it is applied automatically, by its director, at the moment you sign: this agreement becomes a binding contract between FundNow and the Company when you sign below, and FundNow’s signature block is completed at that moment. Typing your name and clicking “Sign the NDA” is your electronic signature and has the same effect as a handwritten one. By signing you confirm that you are authorised to sign for the Company. As evidence of the signatures, FundNow records this agreement’s version, text fingerprint and reference, the date and time, and the details you enter; its form provider records the network address the signature came from. The fully signed copy is available for you to download as soon as you sign, and FundNow keeps the signed record and will send a copy on request.
